The Pakistan Stock Exchange (PSX) has officially placed Dewan Farooque Motors Limited (DFML) in its non-compliant segment following the company’s failure to pay a regulatory penalty within the stipulated timeframe. The automaker has been issued a strict compliance deadline of 12 January 2027 to clear its outstanding dues or face further disciplinary measures.

Regulatory Action and Compliance Deadlines

According to a formal notice issued by the PSX on Wednesday, 14 October, DFML failed to settle a penalty imposed under Clause 5.2.1.1 of the exchange’s regulations. Consequently, the exchange relegated the company to its non-compliant segment under Clause 5.11.1(d), with the regulatory action taking effect on 15 October 2026.

Under PSX regulations, a listed entity may be relegated to the non-compliant tier for various administrative failures, including the non-payment of annual listing fees for two consecutive years, failure to pay penalties imposed through final orders, or neglecting other outstanding dues payable to the exchange. In the case of Dewan Farooque Motors, the disciplinary measure was enacted specifically over the non-payment of a regulatory penalty, although the exchange’s notice did not publicly disclose the exact financial amount of the outstanding fine.

The PSX has directed the automaker to rectify the non-compliance by paying its outstanding dues within 90 days. The exchange sternly warned that failure to resolve the matter by the 12 January 2027 deadline would result in escalated actions under Clause 5.11.3(d) of its rulebook. This includes the potential issuance of a Risk Warning Alert against the company, which could eventually lead to the suspension of trading in its shares if the default persists.

NCCPL Restricts Margin Financing and Securities Lending

The PSX’s disciplinary action triggered immediate secondary consequences within the broader financial market. The National Clearing Company of Pakistan Limited (NCCPL) announced that DFML would be removed from the list of securities eligible for Securities Lending and Borrowing (SLB-B) and the Margin Financing System (MF), effective 15 October.

In a separate notice issued to clearing members on Thursday, the NCCPL confirmed that the exclusion was a direct result of the PSX’s decision to place the company in the non-compliant segment. This restriction implies that DFML shares will no longer qualify for leveraged transactions under the specified financing facilities, potentially impacting the stock’s trading liquidity and increasing margin requirements for existing positions. The NCCPL has advised all clearing members and market participants to adjust their trading mechanisms in accordance with the regulatory change.

Broader Corporate Context

The regulatory setback compounds the ongoing operational and financial challenges faced by Dewan Farooque Motors. As an automobile assembler listed on the PSX, the company has historically grappled with distressed financials, reporting negative earnings and a depressed market capitalisation amidst a highly challenging macroeconomic environment for Pakistan’s automotive sector. The latest placement in the non-compliant tier further underscores the administrative and liquidity pressures weighing on the company’s corporate governance and market standing.
