US-based global flavor and spice manufacturer McCormick & Company, Inc. has officially announced its intention to acquire at least 76.55% of the total shareholding and management control of Unilever Pakistan Foods Limited (UPFL) through one or more of its affiliates.

The formal Public Announcement of Intention (PAI) was submitted to the Pakistan Stock Exchange (PSX) through Arif Habib Limited, acting as the manager to the offer. This move follows Unilever PLC’s broader global realignment, which involves combining and separating its international food operations to merge with McCormick, creating a global flavor powerhouse.

The Global Realignment

The transaction traces back to Unilever PLC’s strategic decision to spin off and combine its global foods business with McCormick, reflecting a staggering enterprise value of $44.8 billion for Unilever Foods. As part of this sweeping cross-border transaction—expected to reach completion by mid-2027 subject to regulatory approvals—the ownership structure of Unilever’s localized subsidiaries around the world is undergoing a corresponding shift.

For Unilever Pakistan Foods Limited—one of the most stable and high-performing consumer goods companies listed on the PSX—this global transaction directly triggers the statutory requirement for a public tender offer to acquire local shares and secure operational control.

Profile of the Target and the Acquirer

Unilever Pakistan Foods Limited has long been a fixture of Pakistan’s fast-moving consumer goods (FMCG) market, widely recognized for household culinary brands including Knorr, National dietary items (in specific joint ventures/operations historically), and various dressings and food solutions. Despite macroeconomic volatility in Pakistan, UPFL has maintained a robust financial track record, high dividend payouts, and strong investor confidence on the local bourse.

On the other side of the transaction, McCormick & Company is a US-headquartered global leader in flavor, spices, seasonings, and condiments, operating across major international markets with household brands like Frank’s RedHot, French’s, and Old Bay. The acquisition of Unilever’s food division marks one of the largest strategic consolidations in the global food industry in recent years.

Regulatory Process and Next Steps

In compliance with the Securities and Exchange Commission of Pakistan (SECP) Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations, 2017, the formal public announcement of intention will be published in English and Urdu newspapers.

The execution of the acquisition remains contingent upon receiving customary regulatory clearances from Pakistani authorities, including the Competition Commission of Pakistan (CCP) and the State Bank of Pakistan (SBP), alongside final global closing conditions. Market analysts note that while the transaction stems from a top-down global corporate restructuring, its successful local execution will mark a monumental shift in ownership for one of Pakistan’s premier food manufacturing entities.
