Colgate-Palmolive (Pakistan) Limited has announced a significant development in its business expansion plans after entering into an Asset Purchase Agreement with Procter & Gamble Pakistan (Private) Limited for the acquisition of land, a manufacturing facility and associated assets located at Port Qasim, Karachi.

In a formal disclosure submitted to the Pakistan Stock Exchange (PSX) on Wednesday, the company confirmed that the agreement was signed on October 28, 2026, marking an important step towards the proposed acquisition of P&G Pakistan’s manufacturing assets.

The transaction remains subject to regulatory clearance from the Competition Commission of Pakistan (CCP), which will assess the proposed acquisition in accordance with applicable competition laws.

Agreement Follows Earlier Announcement

According to the company’s regulatory filing, the latest agreement follows its earlier disclosure dated May 14, 2026, when Colgate-Palmolive Pakistan informed the stock exchange about the proposed acquisition of Procter & Gamble Pakistan’s land, manufacturing facility and related assets at Port Qasim.

The signing of the Asset Purchase Agreement represents further progress in the transaction, although the acquisition has yet to be completed.

The company stated in its official communication:

“We are pleased to announce that the Company has entered into an Assets Purchase Agreement with Procter & Gamble Pakistan (Private) Limited on October 28, 2026.”

It further clarified that completion of the transaction would be subject to approval from the Competition Commission of Pakistan.

Potential Expansion Of Manufacturing Operations

The proposed acquisition could strengthen Colgate-Palmolive Pakistan’s manufacturing infrastructure by adding an existing industrial facility and associated assets to its operations.

Port Qasim is one of Karachi’s major industrial and commercial locations, providing access to port facilities, logistics networks and industrial infrastructure.

The acquisition of an established manufacturing facility could offer opportunities for capacity enhancement, operational integration and long-term business development, depending on the condition of the assets and the company’s future investment strategy.

However, Colgate-Palmolive Pakistan has not outlined its intended utilisation of the acquired facility or provided details regarding potential production capacity.

Regulatory Approval Remains Essential

The proposed transaction will require clearance from the Competition Commission of Pakistan before it can be completed.

The CCP is responsible for reviewing qualifying mergers and acquisitions to determine whether they could substantially lessen competition in relevant markets.

Regulatory scrutiny will therefore form an important part of the transaction process.

The company’s announcement did not specify the financial consideration involved in the acquisition, the expected completion date or the precise operational arrangements following the proposed transfer of assets.

Corporate Disclosure To Pakistan Stock Exchange

The announcement was submitted under Sections 96 and 131 of the Securities Act, 2015, and Clause 5.6.1(a) of the PSX Regulations, which govern the disclosure of material and price-sensitive information by listed companies.

The filing was signed by Colgate-Palmolive Pakistan Company Secretary Mansoor Ahmed and communicated to the Pakistan Stock Exchange for dissemination to market participants.

The company also submitted the relevant disclosure form to the Securities and Exchange Commission of Pakistan (SECP).

Outlook For The Transaction

The agreement represents a notable corporate development involving two established multinational consumer goods businesses operating in Pakistan.

For Colgate-Palmolive Pakistan, the proposed acquisition provides an opportunity to expand its industrial asset base through an existing manufacturing facility rather than relying exclusively on new infrastructure development.

The eventual commercial impact will depend on regulatory approval, integration plans, future capital expenditure and the company’s broader manufacturing strategy.

With the Asset Purchase Agreement now signed, attention will turn towards the CCP’s review and the subsequent steps required to complete the transaction.
