Jahangir Siddiqui & Co. Limited (JSCL) has formally approved a further long-term equity investment of Rs86.96 million in EFU Life Assurance Limited. In a regulatory disclosure submitted to the Pakistan Stock Exchange (PSX) on Wednesday, the company confirmed that its board of directors greenlit the strategic investment during a meeting held on 14 October 2026.

The transaction entails JSCL subscribing to 8,696,339 right shares of EFU Life Assurance—an associated company in which JSCL is already the second-largest shareholder—at a par value of Rs10 per share, totalling Rs86,963,390.

Regulatory Compliance and Shareholder Meeting

Because EFU Life Assurance operates as an associated company under the JS Group umbrella, the proposed equity injection is legally subject to the passage of a special resolution. The company noted that this requirement aligns with Section 199 of the Companies Act, 2017, which governs investments in associated entities.

To secure the requisite authorisation from its shareholders, the JSCL board has scheduled an extraordinary general meeting (EGM) to be held in Islamabad on 6 November 2026.

Strategic Context and EFU Life’s Growth

Incorporated in 1991, JSCL serves as the primary investment arm for the Jahangir Siddiqui Group, managing a diverse portfolio of strategic investments, securities trading, and financial consultancy services. Its decision to inject further capital into EFU Life coincides with the insurance provider’s recent right issue announcement of approximately 42.85 per cent.

The investment follows a period of robust growth for EFU Life Assurance. For the half-year ended 30 June 2026, the life insurer reported a gross premium income of Rs31.8 billion, representing a significant 21.3 per cent year-on-year increase from Rs26.2 billion in the same period of 2025. The insurer’s profit after tax for the six-month period stood at Rs1.29 billion, driving its earnings per share (EPS) up to Rs12.28.

Financial analysts observe that JSCL’s subscription to the right shares will allow the holding company to maintain its substantial stake in the highly profitable insurance firm, while providing EFU Life with the capital necessary to sustain its expansion in both conventional and Takaful business segments.
